ERM Framework for a Mid-Size Manufacturing Firm

₹50Cr

The Challenge

A manufacturing company with an annual turnover of ₹50 crore had no formal risk management structure in place. Operational decisions were made reactively, with no visibility into supply chain vulnerabilities, raw material price exposure, or regulatory compliance gaps. The promoter-led management team recognised that the absence of a risk framework was becoming a barrier to institutional financing and growth.

Our Approach

Meridian conducted a structured risk diagnostic across all business functions — procurement, production, logistics, finance, and compliance. We identified the firm's top 12 material risks, developed a risk appetite statement aligned to the promoter's growth objectives, and designed a lightweight ERM framework appropriate for the organisation's size and management capacity. Risk ownership was assigned at the department head level, with quarterly reporting to the managing director.

The Outcome

The firm secured a term loan from a scheduled commercial bank within four months of framework implementation, with the lender citing the risk framework as a positive factor in credit assessment. Operational disruptions from supplier concentration were reduced after two key single-source dependencies were identified and mitigated. The managing director reported significantly improved confidence in strategic decision-making.

High-risk exposures contained

The Challenge

A welding rod trader with ₹100 crore in annual turnover was experiencing increasing pressure on working capital due to extended debtor cycles and concentration in a small number of large industrial buyers. The business had no formal credit risk policy, and receivables management was handled informally. A single large buyer default had created a near-liquidity crisis the previous year.

Our Approach

Meridian performed a comprehensive credit risk assessment of the firm's debtor book, scoring all active buyers against financial health, payment history, and sector exposure. We designed a credit policy framework with buyer-specific credit limits, payment terms, and escalation triggers. We also assessed the firm's operational risk profile — including inventory management, logistics dependencies, and key-person risk — and developed a risk register with prioritised treatment actions.

The Outcome

Within six months of implementation, average debtor days reduced from 74 to 51 days, materially improving working capital. The credit policy framework prevented two high-risk buyer relationships from being extended beyond safe limits. The business owner reported that the risk register had become a standing agenda item in monthly management reviews, embedding a risk-aware culture across the trading team.

Vendor concentrations resolved

The Challenge

An IT solutions trading business with ₹50 crore in turnover was scaling rapidly but lacked the internal controls and risk governance to support that growth. Key risks included vendor concentration, project delivery failures on resold solutions, data handling obligations under emerging regulatory requirements, and over-dependence on two senior sales personnel. The founders were preparing for a private equity conversation and needed a credible risk framework to present.

Our Approach

Meridian mapped the firm's operational risk profile across four domains: vendor and supply chain risk, delivery and project risk, technology and data risk, and people risk. We assessed the adequacy of existing controls, identified critical gaps, and designed a risk framework scaled to the firm's current size with a clear pathway to the governance standards expected by institutional investors. A data risk register was developed to address regulatory obligations, and a succession risk plan was prepared for the two key-person dependencies.

The Outcome

The founders successfully completed a preliminary PE due diligence process, with the risk framework cited as evidence of management maturity. Two vendor contracts were renegotiated to reduce concentration risk. The data risk register provided the foundation for the firm's first formal data protection policy, reducing regulatory exposure ahead of anticipated enforcement activity in the sector.
